NOTICE

Notice is hereby given that the Board of Directors (the "Board" or "Directors") of the Shenandoah School Building Corporation (the "Building Corporation") shall convene on August 25, 2026, at 4:00 p.m. at 5100 North Raider Road, Middletown, Indiana to: (i) accept the resignation of one or more directors, appoint one or more new directors, and elect officers; (ii) consider the form of the proposed Amendment to Lease to be entered into between the Building Corporation and Shenandoah School Corporation, including the plans and estimates referred to therein, and made a part thereof; (iii) consider the form of the First Supplemental Trust Indenture and the issuance of the Ad Valorem Property Tax First Mortgage Bonds, Series 2026 (or such other name or series designation at the time of sale) by the Building Corporation; and (iv) any other business which may properly come before the meeting.
